These Terms & Conditions ("Terms") govern your access to and use of UrbanScaleX, operated by Urban-age Solutions Private Limited ("UrbanScaleX", "we", "us", or "our").
By accessing, registering for, subscribing to, or using UrbanScaleX, you agree to these Terms. If you do not agree, please do not use the Services.
1. About UrbanScaleX
UrbanScaleX is a technology and SaaS platform that enables organizations, businesses, NGOs, institutions, teams, and other eligible users to create, configure, deploy, and manage digital applications, websites, workflows, automation, integrations, and related technology services.
The features available to you depend on your selected plan, configuration, and applicable service agreement.
2. Eligibility & Account
You must provide accurate information when creating an account and maintain the confidentiality of your login credentials.
If you use UrbanScaleX on behalf of an organization, you confirm that you are authorized to represent and bind that organization.
You are responsible for activities performed through your account and for managing access granted to your users.
3. Use of the Services
You may use UrbanScaleX only for lawful and authorized purposes.
You must not:
- misuse or disrupt the Services; - attempt unauthorized access; - reverse engineer or copy the Platform; - introduce malware or harmful code; - abuse APIs or system resources; - use the Services for fraud or unlawful activities; - infringe third-party rights; or - violate any applicable law or regulation.
We may restrict or suspend access where reasonably necessary to protect the Platform, users, or third parties.
4. Customer Data
You retain ownership of the data, content, files, and information that you submit to UrbanScaleX ("Customer Data").
You grant us permission to process and store Customer Data only as reasonably necessary to provide, secure, maintain, and improve the Services and to comply with applicable law.
You are responsible for ensuring that you have the necessary rights, permissions, and lawful basis to provide and process such data.
5. Privacy & Data Protection
Your use of UrbanScaleX is also subject to our Privacy Policy.
Where applicable, additional data-processing terms may apply between Urban-age Solutions and the Customer.
Customers are responsible for providing appropriate privacy notices and obtaining required permissions or consents from their own users or beneficiaries.
6. Subscriptions & Fees
Certain UrbanScaleX Services require a paid subscription.
Subscription fees, billing periods, usage limits, and included features will be communicated during purchase or in the applicable agreement.
Unless otherwise stated:
- fees are payable in advance; - applicable taxes may be charged; - subscriptions may renew according to their stated renewal terms; and - usage beyond included limits may incur additional charges.
7. Cancellation & Refunds
You may cancel your subscription according to the applicable cancellation terms.
Unless otherwise stated or required by law, fees already paid are non-refundable.
Custom development, implementation, and other completed professional services may be non-refundable.
8. Service Availability
We aim to provide reliable and secure Services but do not guarantee uninterrupted or error-free availability.
The Services may occasionally be unavailable because of maintenance, upgrades, technical failures, third-party services, security incidents, or circumstances beyond our reasonable control.
Specific availability commitments, if any, will be provided under an applicable SLA or enterprise agreement.
9. Third-Party Services
UrbanScaleX may integrate with third-party services, APIs, payment providers, cloud services, communication platforms, AI providers, and other external technologies.
Third-party services are subject to their respective terms and policies. We are not responsible for interruptions, changes, or failures caused by third-party services outside our reasonable control.
10. AI & Automation
UrbanScaleX may provide AI and automated functionality.
AI-generated or automated outputs may contain errors or inaccuracies and should be reviewed before being relied upon for important decisions.
You remain responsible for decisions, actions, workflows, and communications generated or triggered through your account.
11. Intellectual Property
UrbanScaleX and its underlying software, technology, architecture, designs, interfaces, trademarks, documentation, and other proprietary materials remain the property of Urban-age Solutions Private Limited or its licensors.
You receive only the limited rights necessary to use the Services under these Terms.
Your own trademarks, content, and Customer Data remain yours, subject to the rights required for us to provide the Services.
12. White-Label & Custom Solutions
Where enabled by your plan or agreement, UrbanScaleX may provide customized, branded, or white-label applications.
Customization or branding does not transfer ownership of the underlying UrbanScaleX technology unless expressly agreed in writing.
Custom development, ownership, licensing, maintenance, and deployment terms may be separately defined in an applicable agreement or Statement of Work.
13. Security
We implement reasonable technical and organizational measures designed to protect the Services and Customer Data.
However, no internet-based system can guarantee absolute security.
You are responsible for maintaining appropriate account security, access controls, passwords, API credentials, and user permissions.
14. Suspension & Termination
We may suspend or terminate access if:
- you materially breach these Terms; - payments remain unpaid; - your use creates a security or operational risk; - you engage in unlawful or abusive activity; or - suspension is required by law.
Upon termination, your right to use the affected Services will end and Customer Data may be handled according to our applicable retention and deletion policies.
15. Disclaimers
UrbanScaleX is provided on an "as available" basis unless otherwise expressly agreed.
We do not guarantee that the Services will always be uninterrupted, completely error-free, or suitable for every particular business requirement.
Nothing in these Terms excludes rights or warranties that cannot legally be excluded.
16. Limitation of Liability
To the maximum extent permitted by law, Urban-age Solutions will not be liable for indirect, incidental, consequential, special, or loss-of-profit damages arising from your use of the Services.
To the extent legally permitted, our aggregate liability relating to the Services will be limited to the fees paid by you for the affected Services during the preceding 12 months, unless a different limit is agreed in writing.
17. Changes to the Services or Terms
We may update, modify, improve, or discontinue features of UrbanScaleX from time to time.
We may also update these Terms. Material changes will be communicated where reasonably appropriate.
Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
18. Governing Law
These Terms are governed by the laws of India.
Subject to applicable law and any separate written agreement, disputes shall be subject to the jurisdiction of the courts specified by Urban-age Solutions Private Limited.
Jurisdiction: Tiruppur, Tamilnadu, INDIA.
19. General
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
These Terms, together with applicable policies, subscription terms, order forms, and agreements, constitute the agreement governing your use of UrbanScaleX.
